Terms of Service

1. Definitions

• "Navdox" / "Platform" — the WhatsApp Business management software available at navdox.com and portal.navdox.com, operated by Aswath Software Private Limited.
• "We / Us / Our" — Aswath Software Private Limited.
• "You / Customer" — any individual or entity that registers for and uses the Platform.
• "End Users" — your customers who receive WhatsApp messages through the Platform.

2. Account & Eligibility

• You must be at least 18 years of age and have the legal authority to enter into this agreement
• You must provide accurate and complete registration information
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorised use of your account

3. Acceptable Use Policy

You agree to use Navdox only for lawful business purposes. You must NOT:

• Send spam, unsolicited bulk messages, or messages without recipient consent
• Distribute illegal, harmful, or deceptive content
• Violate WhatsApp's Business Policy or Community Standards
• Send messages promoting prohibited categories (gambling, adult content, drugs, weapons per Meta's policy)
• Impersonate another business or person
• Reverse-engineer or scrape data from the Platform
• Resell or sublicence the Platform without our written permission

4. Customer Responsibilities

• You are responsible for the content of all messages sent through the Platform
• You must obtain proper consent from End Users before messaging them on WhatsApp
• You must honour opt-out requests promptly
• You must ensure compliance with applicable data protection laws (including India's DPDPA 2023)
• You must comply with WhatsApp Business Policy and Meta Platform Policies at all times

5. Subscription & Billing

5.1 Plans

Navdox offers subscription plans as detailed on our Pricing page. All prices are in INR and exclude applicable GST (18%).

5.2 Payment

• Subscription fees are billed monthly in advance via Razorpay
• Failure to pay may result in suspension or termination of your account
• Meta's per-conversation WhatsApp charges are separate and billed directly by Meta

5.3 Refunds

Subscription fees are non-refundable except where required by applicable law. Billing disputes must be raised within 7 days at connect@aswathcyber.com.

6. WhatsApp & Meta Compliance

• Your WhatsApp Business Account is subject to Meta's terms and may be suspended by Meta at any time
• We have no control over Meta's decisions regarding your WhatsApp Business Account
• Any suspension of your Meta account is not grounds for a refund of Navdox subscription fees
• Message delivery is managed by Meta's infrastructure; we cannot guarantee 100% delivery
• Navdox operates as a Meta Tech Partner and is bound by Meta's Platform Policies

7. Intellectual Property

Navdox and all its content, features, and functionality are owned by Aswath Software Private Limited and protected by applicable intellectual property laws. You retain all rights to your own data and content uploaded to the Platform. You grant us a limited, non-exclusive licence to process your content solely to provide the service as described.

8. Limitation of Liability

• The Platform is provided "as is" without warranties of any kind, express or implied
• We are not liable for indirect, incidental, special, or consequential damages
• Our total aggregate liability shall not exceed the fees you paid in the 3 months preceding the claim
• We are not liable for any actions taken by Meta / WhatsApp regarding your account or messages
• We are not liable for losses arising from your failure to comply with WhatsApp's policies

9. Account Termination

You may cancel your subscription at any time from your account settings. Upon cancellation, your access will continue until the end of the current billing period.

We reserve the right to suspend or terminate accounts that violate these Terms, WhatsApp's Business Policy, or applicable law — without prior notice. Data will be retained for 90 days post-closure as described in our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or a prominent notice on the Platform at least 15 days before the change takes effect. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Rajasthan, India.
